Terms of Service

These Terms of Service ("Terms") govern access to and use of RecoMind, a Shopify application and related services operated by [LEGAL ENTITY NAME], located at [FULL LEGAL ADDRESS, CITY, STATE, PIN, INDIA] ("RecoMind", "we", "us" or "our").

By installing, accessing, purchasing or using RecoMind, you agree to these Terms. If you act for a business, you represent that you have authority to bind that business.

RecoMind may provide Shopify product synchronisation, catalogue/content analysis, AI-readiness and AI/LLM visibility analysis, AI-assisted titles/descriptions/FAQs, prompt generation and simulation, competitor analysis, optimisation workflows, reporting, conversion/performance analysis and related ecommerce intelligence features.

Features can vary by plan, jurisdiction, Shopify permissions, third-party availability and product updates.

You must be legally capable of entering a binding agreement, be authorised to administer the relevant Shopify store, maintain a valid Shopify account and comply with Shopify's applicable terms and policies.

RecoMind is an independent application integrating with Shopify. Shopify's APIs, platform rules, billing mechanics and availability can change and may affect RecoMind.

By installing RecoMind you authorise access to Shopify resources within the permissions Shopify shows to you. Depending on enabled functionality, permissions may include products, themes, reports, orders, Shopify Markets and other resources required by the feature. If additional permissions become necessary, Shopify may require new approval.

• Protect Shopify administrator credentials and devices.
• Restrict RecoMind access to authorised users.
• Promptly remove former employees/collaborators.
• Notify us promptly of suspected compromise or unauthorised access.
• Do not attempt to access another merchant's data or bypass authentication, limits or security controls.

You must not use RecoMind to violate law, infringe intellectual-property/privacy/confidentiality rights, process unlawfully obtained data, transmit malware, attack or overload our systems, bypass rate/security/plan limits, access another user's data without authority, or engage in fraudulent, deceptive, discriminatory, abusive or illegal activity.

We may restrict or suspend access where reasonably necessary to address security threats, fraud, abuse, non-payment, platform-policy violations or legal obligations.

As between the merchant and RecoMind, the merchant retains its rights in content lawfully submitted to RecoMind. You grant us a limited licence to host, transmit, analyse, modify and process that content only as needed to provide and secure the Services, comply with law and exercise rights under these Terms.

You represent that you have the rights and lawful authority required to provide the content. Where use involves customer or other personal data, the merchant remains responsible for required notices, lawful bases/consents and handling customer rights, while RecoMind processes information as described in the Privacy Policy and applicable Shopify requirements.

Some RecoMind features use artificial intelligence. AI output may contain inaccuracies, omissions, outdated information, non-unique material or other errors. RecoMind does not guarantee that AI output is accurate, complete, unique, legally compliant or commercially successful.

You are responsible for reviewing generated titles, descriptions, FAQs, prompts, competitor analysis, recommendations and reports before publishing or relying on them.

RecoMind may help analyse or improve content for ecommerce discovery, search engines and AI/LLM environments, but we do not guarantee Google/search ranking, inclusion or recommendation by any AI system, AI Overview placement, traffic, conversion, sales, revenue, profit or any particular business result. External platforms, algorithms, competitors and customer behaviour operate independently of RecoMind.

Competitor information may come from public sources, merchant-supplied URLs, automated analysis or AI-generated interpretation. It may be incomplete or outdated. You are responsible for ensuring your use complies with law and third-party rights.

Certain features may allow generated content or other changes to be applied to Shopify. Review changes before applying them. Where rollback/history functionality exists, it does not replace your responsibility to maintain appropriate Shopify backups and change-control procedures. You remain responsible for content published on your store.

RecoMind may offer trials, subscription plans, feature/product limits, usage allocations, token quotas, token purchases and add-ons. The plan, price, billing interval, quota and features shown at purchase form part of these Terms. Usage limits may be enforced automatically.

Where a trial is offered, its duration and limits will be displayed. Continued use of paid features after the trial may require a paid plan.

Where supported, charges are processed using Shopify Billing. By approving a recurring or one-time charge, you authorise the charge according to the terms displayed by Shopify. Taxes may apply.

You may discontinue RecoMind by cancelling the applicable subscription and/or uninstalling the app, subject to Shopify billing mechanics. Uninstalling does not automatically reverse a charge already validly incurred.

Except where required by applicable law, required under Shopify rules or expressly stated in a specific offer, validly incurred fees are generally non-refundable after the paid service or digital allocation has been activated or made available. Billing errors should be reported promptly to [SUPPORT EMAIL].

We aim to operate RecoMind reliably but do not guarantee uninterrupted or error-free availability. Service can be affected by Shopify, OpenAI/AI providers, hosting/database providers, network failures, maintenance, security incidents, force majeure or third-party changes.

We may improve, replace, add or discontinue features. Material changes affecting an active paid service will be handled reasonably and subject to applicable law and contractual obligations.

RecoMind software, code, interface, databases, algorithms, trademarks, documentation and proprietary analysis frameworks are owned by or licensed to [LEGAL ENTITY NAME], except merchant content and third-party materials. No ownership is transferred except the limited right to use the Services under these Terms.

Subject to applicable law, third-party rights and compliance with these Terms, you may use outputs generated specifically for your store for legitimate business purposes. Because AI can generate similar results for multiple users, uniqueness or exclusivity is not guaranteed.

Use of RecoMind is subject to our Privacy Policy. We maintain reasonable technical and organisational safeguards, but no internet-connected system can be guaranteed completely secure.

Responsible security reports may be sent to [SECURITY EMAIL]. Do not publicly disclose a vulnerability before allowing a reasonable opportunity to investigate and remediate it, except where law provides otherwise.

Each party should protect confidential non-public information received from the other using reasonable safeguards. Confidential information excludes information that becomes public without breach, was already lawfully known, was independently developed or was lawfully received without confidentiality restriction. Disclosure may be made where legally required.

RecoMind depends on Shopify and may depend on AI, hosting, database, caching, monitoring and other providers. We are not responsible for independent outages, policies or platform changes outside our reasonable control. Separate provider terms may apply where you interact directly with a third-party service.

To the maximum extent permitted by applicable law, RecoMind is provided on an “as available” basis. Except for warranties that cannot legally be excluded, we do not warrant uninterrupted availability, correction of every error, accuracy of generated information, compatibility with every third-party system or any specific commercial result.

To the maximum extent permitted by applicable law, neither RecoMind nor [LEGAL ENTITY NAME] will be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or loss of anticipated profit, revenue, goodwill, opportunity or data arising from use of the Services, except where limitation is prohibited by law.

To the maximum extent legally permitted, our aggregate liability arising from or relating to the Services will not exceed fees actually paid by the affected merchant to RecoMind during the twelve months immediately preceding the event giving rise to the claim. This does not limit liability that cannot legally be limited or excluded.

To the extent permitted by law, you agree to indemnify [LEGAL ENTITY NAME] against third-party claims arising from unlawful merchant content, your violation of law or third-party rights, unauthorised processing of personal data, material breach of these Terms or misuse of RecoMind by users authorised through your Shopify account, except to the extent a claim is caused by our own conduct for which law places responsibility on us.

We may suspend or terminate access where reasonably necessary because of non-payment, fraud, unlawful activity, abuse, security threats, material breach, Shopify requirements or legal/regulatory obligations. Where reasonably practicable, we will provide notice and an opportunity to remedy the issue.

After termination, access can cease, valid billing obligations remain payable and data is handled under the Privacy Policy and Shopify privacy requirements. Provisions intended by their nature to survive termination continue to apply.

Uninstalling RecoMind ends ongoing authorised Shopify access except as necessary for Shopify compliance webhooks and legally permitted post-termination obligations. Store data is deleted, anonymised or lawfully retained as described in the Privacy Policy.

Neither party is responsible for delay or failure caused by events beyond reasonable control, including major network outages, natural disasters, war, civil disturbance, government action, widespread infrastructure failure or third-party platform failure, subject to applicable law.

We may update these Terms for product, security, legal, Shopify or operational changes. The revised version will show an updated date. Where required, material contractual changes will be communicated before becoming binding.

These Terms are governed by the laws of India, except where another law mandatorily applies. Subject to mandatory applicable law, courts located at [CITY, STATE, INDIA] will have jurisdiction over disputes arising from these Terms. Have this jurisdiction clause reviewed by counsel if RecoMind is offered broadly outside India.

If any provision is invalid or unenforceable, the remaining provisions continue to the fullest extent permitted. Failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, applicable plan/purchase terms and any separately executed agreement constitute the agreement governing use of RecoMind; a separately executed written agreement expressly addressing a conflict controls to that extent.
